1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the website and services provided by MaineMark Trucking LLC ("we," "us," or "our"). By accessing or using our website, requesting services, or entering into a business relationship with us, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our services.
2. Services
MaineMark Trucking LLC provides freight transportation and logistics services, including:
- Short-haul and long-haul trucking services
- General freight transportation
- Dispatch services for other carriers
- Contractor/owner-operator management
We operate under MC Number 1489620 and DOT Number 3979645, authorized by the Federal Motor Carrier Safety Administration (FMCSA).
3. Freight Transportation Services
3.1 Service Agreement
All freight transportation services are provided pursuant to individual load confirmations, rate agreements, or master service agreements between MaineMark Trucking LLC and the shipper or broker.
3.2 Rates and Payment
Rates are specified in individual load confirmations. Payment terms are net 30 days unless otherwise agreed in writing. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
3.3 Cargo Liability and Insurance
We maintain cargo insurance as required by federal regulations. Our liability for cargo loss or damage is governed by the Carmack Amendment (49 U.S.C. § 14706) and applicable federal motor carrier regulations. Claims must be filed in accordance with 49 CFR Part 370.
3.4 Limitations on Liability
Unless otherwise agreed in writing, our liability for cargo loss or damage is limited to the actual value of the goods or $100,000 per occurrence, whichever is less. We are not liable for consequential, incidental, or punitive damages.
4. Contractor/Owner-Operator Relationships
4.1 Independent Contractor Status
Drivers who contract with MaineMark Trucking LLC are independent contractors, not employees. The relationship is governed by individual Independent Contractor Lease Agreements.
4.2 Onboarding Process
Prospective contractors must complete our onboarding process, which includes:
- Submission of personal and business information
- Background and Motor Vehicle Record (MVR) checks
- Verification of insurance and DOT compliance
- Completion of required tax forms (W-9)
- Execution of Independent Contractor Agreement
- Integration with Stripe for direct deposit payments
4.3 Payment Terms
Contractor compensation is specified in the Independent Contractor Agreement and settlement statements. Payments are typically made weekly via ACH transfer to the contractor's designated bank account.
4.4 Tax Obligations
Contractors are responsible for all applicable federal, state, and local taxes. MaineMark Trucking LLC will issue IRS Form 1099-NEC for all contractors who earn $600 or more in a calendar year.
5. Website Use
5.1 Acceptable Use
You agree not to:
- Use our website for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the website or servers
- Transmit viruses, malware, or other harmful code
- Impersonate another person or entity
- Collect or harvest information from our website without permission
5.2 User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
5.3 Intellectual Property
All content on this website, including text, graphics, logos, and software, is the property of MaineMark Trucking LLC or its licensors and is protected by copyright and trademark laws. You may not use, reproduce, or distribute any content without our written permission.
6. Quotes and Estimates
Quotes provided through our website or by our staff are estimates only and are not binding until confirmed in a written load confirmation or rate agreement. Rates may be adjusted based on actual weight, dimensions, accessorial services, or market conditions.
7. Dispute Resolution
7.1 Governing Law
These Terms are governed by the laws of the State of North Carolina and applicable federal law, without regard to conflict of law principles.
7.2 Arbitration
Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Charlotte, North Carolina.
7.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
8. Disclaimers and Warranties
8.1 Website Disclaimer
Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
8.2 Third-Party Services
Our website integrates with third-party services (Stripe, Google, etc.). We are not responsible for the availability, accuracy, or reliability of these third-party services.
9. Indemnification
You agree to indemnify, defend, and hold harmless MaineMark Trucking LLC, its officers, directors, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of your use of our services, violation of these Terms, or violation of any rights of another party.
10. Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failure of transportation infrastructure.
11. Termination
We reserve the right to suspend or terminate your access to our website and services at any time, with or without cause, and with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
13. Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and MaineMark Trucking LLC regarding your use of our services.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
